Welcome to LocalMall. This Vendor Agreement sets out the terms under which independent businesses (“Vendors”) may list, promote, and sell their products on the LocalMall marketplace platform.
By registering as a Vendor on LocalMall, you agree to the following terms:
1. Platform Role & Relationship
LocalMall operates purely as a third-party marketplace facilitator. LocalMall is not a buyer, seller, manufacturer, or distributor of your products. The contract for sale is formed directly between you (the Vendor) and the Customer purchasing your items.
2. Vendor Responsibilities & Legal Compliance
As a Vendor, you warrant and agree that:
- You hold all necessary local, trade, and legal permissions, licenses, and registrations required to operate your business and sell your goods in the UK.
- All products listed are legal, authentic, accurately described, correctly priced, and in compliance with UK safety, environmental, and consumer protection laws.
- Food Safety & Hygiene: If selling food, perishable, or digestible goods, you guarantee strict adherence to UK Food Safety regulations, hygiene standards, and allergen disclosures.
3. Order Fulfillment & Customer Service
- You are solely responsible for processing, packaging, and fulfilling customer orders (whether via in-store collection or local delivery) within the specified timeframe.
- You are responsible for handling customer queries, returns, and exchanges in accordance with UK Consumer Rights Legislation and your store policies.
4. Product Liability & Indemnification
- Sole Liability: You maintain sole legal liability for any product defects, physical harm, damages, misrepresentations, or consumer disputes arising from the products you list or sell through LocalMall.
- Indemnification: You agree to indemnify and hold harmless LocalMall, its administrators, and affiliates against any claims, losses, damages, or legal fees resulting from your breach of this agreement or your products.
5. Fees & Payments
- Vendors are responsible for maintaining accurate payment information via Stripe Connect / PayPal for direct payout processing.
- Subscription fees or platform commission rates (where applicable) are outlined during vendor registration and are subject to clear prior notice upon any adjustments.
6. Account Termination
LocalMall reserves the right to suspend or terminate any Vendor account that breaches UK laws, fails to maintain basic hygiene/safety standards, receives persistent unresolved customer complaints, or violates these terms.
